1. VALUE ADDED TAX – Prices exclude VAT. This will be added at current rate applicable at the date of sale.

2. DELIVERY CHARGES are published in our current Price lists.

3. ALL ORDERS & CONTRACTS are accepted by ACS Ltd & CSS subject to force majeure without engagement regarding delivery and subject to prices ruling at the time of despatch from our warehouse. Force majeure shall include acts of God, riots, war, explosion, fire, floods, storms, lock – outs, strikes, national or local legislation or regulation, the service of proceedings alleging the infringement of third party patent rights, accident, breakdown of plant machinery, and shortage of materials.

4. CUSTOMER’S CONDITIONS endorsed on their orders are binding only to the extent that they do not conflict with these conditions of sale, or any other ACS Ltd & CSS conditions of sale.

5. SPECIALLY MANUFACTURED GOODS sent in accordance with customer’s written order cannot be accepted for return by ACS Ltd & CSS. Orders for these items must be confirmed in writing. ACS Ltd & CSS reserves the right to deliver a quantity within plus or minus 10% of original order for specially manufactured goods.

6. COMPATIBILITY – Responsibility for establishing the compatibility of any ACS Ltd & CSS goods with papers, other materials or equipment used by the buyer in manufacture or use, or used with other ACS Ltd & CSS goods shall rest upon the purchaser. ACS Ltd & CSS shall no be liable for any loss, whether consequential or otherwise, or for deterioration of ACS Ltd & CSS goods or other materials used with them, in manufacture or otherwise, caused by incompatibility of such materials one with the other.

7. DELIVERY TIMES – Whilst every endeavour is made to effect deliveries on time, no representation as the exact dates is to be implied and no liability will be accepted for any loss or damage occasioned by delay in delivery, however caused.

8. CANCELLATION of an order must be confirmed in writing by fax or letter, in the case of specially manufactured goods, ACS Ltd & CSS’s written agreement must first be obtained.

9. NON – DELIVERY – Goods not received MUST be notified to us in WRITING within 7 days of date of invoice.

10. SHORTAGES OR DAMAGED IN TRANSIT – MUST be notified within 48 hours of receipt of goods. Customers signing for goods ‘UNEXAMINED’ or ‘DAMAGED’ must notify details to ACS Ltd & CSS within 48 hours of receipt of goods to avoid liability for the loss.

11. PROOF OF DELIVERY – Will only be provided against requests in writing which MUST be made within 14 days of the date of invoice.

12. CHANGES IN PRICE & SPECIFICATION – Our policy is to keep our customers informed of changes when they happen. However this is not always possible and we must reserve the right to make changes to specifications and prices without prior notice.

13. RETURNS – Unless previously agreed IN WRITING we cannot accept the return of goods.

14. CLAIMS – If any goods supplied by ACS Ltd & CSS prove on inspection to be defective in material or workmanship, ACS Ltd & CSS undertakes at its option to replace the same or refund to the purchaser the price of the goods and in no circumstance will liability exceed the cost of the replacement. ACS Ltd & CSS shall not under any circumstances Whatsoever be liable for damages, whether consequential or otherwise, howsoever caused or occasioned and this undertaking is given in place of and excludes all other warranties and conditioned whatsoever whether implied statute or otherwise unless and except for personal injuries to any person.

15. TERMS OF PAYMENT – The prices charged and against which payment must be made, will be those prices ruling at the date of despatch of goods. Unless otherwise agreed, cash must be sent with order or cash paid against proforma invoice until a credit account has been approved. Credit terms require payment within 30 days from the date if invoice, but ACS Ltd & CSS have the right to withdraw credit facilities in the event of any failure by the purchaser to adhere to these terms of payment, ACS Ltd & CSS shall be entitled to recover and resell any goods for which payment has not been received by ACS Ltd & CSS.

16. RETENTION OF TITLE – Ownership of any goods supplied will remain with ACS Ltd & CSS until such time as payment in full is made by the purchaser although risk shall pass to the purchaser on delivery of the goods. In the event of payment not being made within 14 days of the due date, ACS Ltd & CSS shall be entitled to enter any premises where the goods may be to recover possession. In the event that such goods be resold by the purchaser prior to payment. ACS Ltd & CSS will be entitles to the proceeds of any such sale up to the full amount owing to ACS Ltd & CSS. Goods not paid for shall be stored at no cost to ACS Ltd & CSS so that they are identifiable as belonging to ACS Ltd & CSS. Should the purchaser use the goods in a further production process the property in the converted in the converted product will pass immediately to ACS Ltd & CSS and will remain with ACS Ltd & CSS from the moment of conversion until the purchaser has paid all sums due to ACS Ltd & CSS and the foregoing shall apply to the converted goods as to the original goods themselves.

17. GENERAL – No variation hereto or addition shall be binding upon unless given in writing by a Director of ACS Ltd & CSS. Theses Terms and Condition of Sale shall be governed by English Law.
